1. Acceptance of Terms
By accessing or using the Google Ads Optimizer (“the Service”) provided by 365SoftLabs Ltd (“we,” “us,” or “our”), you agree to be bound by these Terms of Service. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these terms.
Important: Please read these terms carefully. By using our Service, you acknowledge that you have read, understood, and agree to be bound by all terms and conditions herein. If you do not agree, you must not access or use the Service.
2. Service Description
The Google Ads Optimizer is a software-as-a-service (SaaS) platform that:
- Connects to Google Ads accounts via Google’s official API
- Analyzes campaign performance data
- Provides optimization recommendations and automated adjustments
- Generates reports and insights for advertising performance
- Offers tools for budget management and bid optimization
The Service is provided on a subscription basis with various tiers offering different features and capabilities.
3. Eligibility & Account Registration
3.1 Eligibility Requirements
To use the Service, you must:
- Be at least 18 years old or the age of majority in your jurisdiction
- Have a valid Google Ads account in good standing
- Provide accurate and complete registration information
- Maintain the security of your account credentials
3.2 Account Security
You are responsible for:
- All activities under your account
- Maintaining confidentiality of your login credentials
- Promptly notifying us of any unauthorized access
- Ensuring your account information remains current
4. Google OAuth & API Access
4.1 Authorization Process
To use our Service, you must authorize us to access your Google Ads data through Google’s OAuth 2.0 consent screen. This authorization:
- Is required for the Service to function
- Grants limited access to your Google Ads account data
- Can be revoked by you at any time through Google Account settings
- Is subject to Google’s API Services User Data Policy
4.2 Scope of Access
By authorizing our Service, you grant us permission to:
- View and manage your Google Ads campaigns
- Access performance reports and metrics
- Make optimization adjustments within your account
- Retrieve account structure and settings
Note: We only access data necessary to provide optimization services. We do not access personal emails, Google Drive files, or any data outside the explicitly granted permissions.
5. Subscriptions & Payments
5.1 Subscription Plans
We offer various subscription plans with different features. You agree to:
- Pay all applicable fees for your selected plan
- Provide accurate billing information
- Maintain valid payment method on file
5.2 Billing & Renewals
- Subscriptions automatically renew at the end of each billing cycle
- You may cancel auto-renewal at any time before the renewal date
- All fees are non-refundable except as required by law
- We may change subscription fees with 30 days notice
5.3 Free Trials
Free trials, when offered, automatically convert to paid subscriptions unless canceled before the trial ends.
6. User Responsibilities

Violation Consequences: We reserve the right to suspend or terminate accounts violating these prohibitions, and may report violations to Google and relevant authorities.
8. Intellectual Property Rights
8.1 Our Intellectual Property
365SoftLabs retains all rights, title, and interest in:
- The Google Ads Optimizer software and platform
- Our algorithms, methodologies, and optimization techniques
- Our trademarks, logos, and brand elements
- Documentation, content, and website materials
8.2 Your Content
You retain ownership of your Google Ads account data and content. By using our Service, you grant us a limited license to:
- Access and process your data to provide the Service
- Use aggregated, anonymized data for service improvement
9. Data Usage & Privacy
Our data practices are governed by our Privacy Policy, which is incorporated into these Terms by reference. Key points include:

10. Disclaimers & Limitations

- Compatibility with all Google Ads account configurations

Our Service depends on Google Ads API and other third-party services. We are not responsible for:
- Google API outages or limitations
- Changes to Google’s terms or API functionality
- Performance of third-party payment processors
11. Liability Limitations
11.1 Limitation of Liability
To the maximum extent permitted by law, 365SoftLabs shall not be liable for:
- Indirect, incidental, or consequential damages
- Loss of profits, revenue, or data
- Advertising costs or lost business opportunities
- Damages exceeding the amount paid for the Service in the past 6 months
11.2 Acknowledgment of Risks
You acknowledge that:
- Google Ads optimization involves inherent uncertainties
- Automated adjustments may not always produce desired results
- You should monitor campaigns and use professional judgment
- We are not responsible for Google’s ad approval decisions
12. Termination
12.1 Termination by You
You may terminate your subscription at any time through your account settings. Termination will be effective at the end of your current billing period.
12.2 Termination by Us
We may suspend or terminate your access if:
- You violate these Terms of Service
- You fail to pay subscription fees
- Required by law or to protect our rights
- We discontinue the Service
12.3 Effects of Termination
Upon termination:
- Your access to the Service will cease
- We will revoke API access to your Google Ads account
- You may request deletion of your data per our Privacy Policy
- Outstanding fees remain payable
13. Modifications to Terms
We reserve the right to modify these Terms at any time. When we make material changes:
- We will update the “Last Updated” date
- We may notify you via email or in-app notification
- Continued use after changes constitutes acceptance
If you disagree with changes, you may terminate your subscription as described in Section 12.
14. Governing Law & Disputes

These Terms shall be governed by the laws of England and Wales, without regard to conflict of law principles.
14.2 Dispute Resolution
Any disputes shall be resolved as follows:
- First attempt informal resolution via the contact information below
- If unresolved, disputes shall be submitted to binding arbitration in London, UK
- Each party bears its own arbitration costs
14.3 Class Action Waiver
You waive any right to participate in class actions or collective arbitration against 365SoftLabs.
